1. Scope of Condition
All our offers, services, and deliveries are exclusively based on these general terms and conditions. These terms and conditions also apply to all future business relationships, even if they are not expressly agreed upon again. With the order confirmation, but at the latest upon receipt of the goods or services, these terms and conditions are deemed accepted. Contradictory general terms and conditions of the buyer, with reference to its business or purchasing conditions, are hereby contradicted, or are only accepted if they have been expressly acknowledged in writing by CONTECMA C.S. GmbH. The same applies to our assembly guidelines, according to which requested technician dispatches are exclusively handled.
2. Offer and Conclusion of Contract
2.1 The offers prepared by CONTECMA C.S. GmbH are non-binding and subject to change.
2.2 If documents from the inquiring party or the inquiring customer are used for the preparation of the offer, these documents are only binding if expressly mentioned in the offer. The offer, as well as the accompanying documents and information in brochures and printed materials, such as drawings, illustrations, dimensions, weights, or other performance data, are values determined to the best of our knowledge, but only become binding upon specification in the order confirmations.
2.3 The offer provided to the inquirer, as well as all accompanying drawings and other documents, are subject to property and copyright and may not be provided or made accessible to third parties without the consent of the offeror.
2.4 Declarations of acceptance and all orders require our written or telegraphic order confirmation to be effective. The same applies to amendments, modifications, or collateral agreements.
2.5 CONTECMA C.S. GmbH has the right at any time, even after conclusion of a contract, to make technical changes and/or modifications to the delivered item if this does not affect its technical function and the delivered item is not deteriorated.
3. Price Agreements
3.1 Our prices are non-binding in EURO, ex works, excluding packaging and transport as well as any transport insurance, plus the statutory value-added tax applicable to the client/purchaser. Loading or handling within the factory is included in the price.
3.2 The minimum order value is EURO 75,-. Below the minimum order value, an additional processing fee of EURO 20,- will be charged.
3.3 In the event of increases in material and production costs, we are entitled to reasonably increase the agreed prices.
4. Tools
All fixtures, manufacturing drawings, and tools manufactured by us or in this order remain the property of CONTECMA C.S. GmbH, even if they are invoiced to the purchaser in proportion.
5. Delivery
5.1 Our written order confirmation is binding for the scope of delivery and delivery conditions; collateral agreements and amendments require written form.
5.2 If orders cannot be delivered at a certain time because individual items are not available at that time, CONTECMA C.S. GmbH reserves the right to make partial deliveries and to invoice them separately. The resulting shipping, packaging, and insurance costs will be charged to the customer.
5.3 The binding or non-binding agreement of delivery dates or deadlines requires written form. The delivery period begins with the dispatch of the order confirmation, but not before the client has provided the documents, approvals, releases to be obtained by the purchaser, and not before receipt of an agreed deposit. The delivery deadline is met if, by its expiry, the delivered item has left the factory or if readiness for dispatch has been notified. Compliance with the delivery deadline requires the purchaser to fulfill its contractual obligations.
5.4 The delivery period is reasonably extended or we are entitled to withdraw from the contract in the event of measures taken within the scope of labor disputes at CONTECMA C.S. GmbH or its subcontract
